Welcome to RFP Cloud Procurement Agency (“RFP Cloud,” “Agency,” “we,” “us,” or “our”). These Terms of Use govern your access to and use of our website, procurement services, consulting services, RFP sourcing services, educational materials, and related services.
By accessing our website, booking a consultation, purchasing a service, submitting information, or engaging RFP Cloud Procurement Agency, you agree to these Terms.

RFP Cloud is a procurement consulting and sourcing agency. We are not a government agency and are not affiliated with any federal, state, county, or municipal government unless expressly stated.
2. No Guarantee of Contracts or Awards
RFP Cloud does not guarantee that a client will:

Receive a government contract
-
Win an RFP, RFQ, RFI, or solicitation
-
Receive an invitation to bid
-
Become an approved vendor
-
Generate a specific amount of revenue
-
Receive funding or financing
-
Be selected by a government or private-sector purchasing organization
Government and private procurement decisions are made by the applicable issuing organization.
Our role is to provide research, sourcing, consulting, and support based on the services purchased by the client.
3. Client Responsibility
The client is ultimately responsible for:

Reviewing every solicitation before responding
-
Determining whether an opportunity is appropriate for their business
-
Meeting solicitation requirements
-
Providing accurate business information
-
Maintaining required licenses, registrations, certifications, and insurance
-
Preparing and submitting final proposals and required documents
-
Meeting all submission deadlines
-
Ensuring pricing and representations submitted to an agency are accurate
-
Complying with applicable laws and procurement requirements
RFP Cloud may assist with research and strategy, but the client remains responsible for the final submission and all information contained in it.
4. Accuracy of Procurement Information
RFP opportunities, deadlines, requirements, amendments, funding information, and agency requirements may change without notice.
Although RFP Cloud makes reasonable efforts to provide accurate information, we do not warrant that all information supplied through our services will always be:

Complete

Current
-
Accurate
-
Error-free
-
Available
-
Free from third-party changes
Clients should always verify solicitation information directly with the issuing organization before submitting a response.
5. Third-Party Websites and Government Portals
Our services may direct clients to third-party websites, including government procurement portals and registration systems.
RFP Cloud does not control these third-party websites and is not responsible for:

Website outages

Portal errors
-
Registration problems
-
Changes to requirements
-
Missed notifications
-
Third-party fees
-
Third-party policies
-
Government procurement decisions
Use of third-party websites is subject to the terms and policies of those websites.
6. Consultation Services
Consultations may be provided by phone, video conference, email, or other approved communication methods.
Consultations are intended to provide business and procurement guidance and should not be considered legal, accounting, tax, financial, or professional licensing advice.
Clients should consult an appropriately licensed attorney, CPA, insurance professional, or other qualified professional when specialized advice is required.
7. Fees and Payment
Clients agree to pay the fees applicable to the services purchased.
Depending on the service, fees may be:

Retainer-based
The applicable price, payment schedule, and scope of services will be communicated to the client before or at the time of purchase.
Failure to make required payments may result in suspension or termination of services.
8. Refunds and Cancellations
Unless otherwise stated in a written service agreement, consultation fees and completed research/services are generally non-refundable once the service has been performed or work has begun.
If a recurring service is canceled, cancellation will apply to future billing periods and will not automatically entitle the client to a refund for services already provided.
Specific refund provisions may be established in an individual client agreement.

All original materials created or provided by RFP Cloud, including:

Research methodologies

Databases

Reports

Written content

Branding

Website content

Graphics

Forms

Systems

Proprietary processes
Remain the property of RFP Cloud Procurement Agency or its applicable licensors unless otherwise agreed in writing.
Clients receive a limited right to use purchased materials for their own business purposes.
Clients may not resell, redistribute, reproduce, license, or commercially exploit RFP Cloud proprietary materials without written permission.
10. Confidentiality
RFP Cloud will make reasonable efforts to protect confidential business information provided by clients.
Clients should not submit passwords, banking credentials, Social Security numbers, credit-card information, or other highly sensitive information unless specifically required through a secure and authorized process.
Confidentiality obligations may be expanded through a separate NDA or service agreement.
11. Prohibited Use
Users may not use RFP Cloud services or website to:

Commit fraud

Misrepresent their business

Submit false information to a government agency

Circumvent procurement requirements
-
Impersonate another company or individual
-
Access another user's account
-
Copy or resell proprietary RFP Cloud materials

Interfere with the website or its security

Engage in unlawful activity
RFP Cloud reserves the right to suspend or terminate access for violations.
12. No Legal or Government Representation
RFP Cloud does not represent a client before a government agency unless specifically authorized under a separate written agreement.
Nothing on the website creates an attorney-client relationship, government-agent relationship, partnership, joint venture, or employment relationship.
13. Limitation of Liability
To the maximum extent permitted by applicable law, RFP Cloud Procurement Agency will not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of our services.
RFP Cloud's total liability relating to a service will generally be limited to the amount actually paid by the client for that particular service, unless a separate written agreement provides otherwise.
14. Website Availability
We strive to keep our website and services available but do not guarantee uninterrupted access.
We may temporarily suspend, modify, update, or discontinue portions of the website or services for maintenance, security, operational, or business reasons.
15. Changes to These Terms
RFP Cloud may update these Terms of Use from time to time.
Updated terms will be posted on the website with a revised effective date. Continued use of the website or services after an update constitutes acceptance of the revised terms.
16. Termination
RFP Cloud may terminate or suspend a user's access to services if the user:

Fails to pay required fees

Provides fraudulent or misleading information

Misuses RFP Cloud materials

Engages in unlawful conduct

Attempts to compromise our systems or services
Termination does not eliminate payment obligations for services already performed.
17. Governing Law
These Terms shall be governed by the laws of the applicable jurisdiction identified in the client's service agreement or, if no separate agreement exists, the jurisdiction where RFP Cloud Procurement Agency is legally organized, subject to applicable federal law.
